CrossState Credit Union Association Board Election

To ensure fair representation of peer groups serving on the CrossState Board of Directors, member credit unions may vote to elect a Director who is a member of a credit union within their state and from the appropriate asset-based category.  The categories are:

• Category 1, member credit unions with total assets up to $50 million;
• Category 2, member credit unions with total assets greater than $50 million up to $250 million; and
• Category 3, member credit unions with total assets greater than $250 million.

1. Once nominations are closed, the Nominating Committee will vet the nominees to ensure they possess the required qualifications as established by the CrossState Board, which include, among other things, high professional ethics, integrity, values, relevant skill sets, and a willingness to devote sufficient time.  In addition, nominees may not have served as an employee of CrossState within the last 5 years nor be affiliated with a credit union already represented on the CrossState board.  The nominee may submit a statement of qualifications and biographical data that may not exceed 250 words. CrossState’s Nominating Committee reserves the right to edit such statements before distributing them in connection with the election of the Board of Directors.
2. For purposes of campaigning, nominees will be provided with address labels and email addresses for the CEOs of member credit unions that fall within their state and within the appropriate asset-based category.
3. Except for the labels and email addresses described above, nominees may not use the CrossState brand or stationery for campaigning purposes.  Incumbent members of the Board of Directors shall not imply or represent that they are endorsed by the CrossState Credit Union Association.
4. A credit union that is a member of the CrossState Credit Union Association is eligible to vote for candidates for Director on the CrossState board.  A member credit union will participate in elections within their state and within the appropriate category as determined by the member credit union’s Report of Financial Condition dated June 30, 2021.  A credit union must have paid its CrossState membership dues for 2022 to be eligible to vote.
5. Each member credit union is entitled to one vote.
6. The 2022 CrossState Director election shall be to elect one Director from Pennsylvania from asset-based category 3. The seats for Pennsylvania’s asset-based category 1 and for New Jersey’s asset-based categories 1, 2 and 3 were uncontested and, according to these rules of election, have been earned by the sole nominee for each seat.
7. Votes will be cast by electronic means. The elections will be decided by a plurality vote. Elections will be structured so that members vote by category within their state.  If there are multiple nominees from a category, each such nominee shall run against the other nominees from that category within the same state and shall not run against all other nominees generally.  If only one nominee stands for election in his/her respective category and state, that individual shall be determined the winner and no balloting will occur within that category.  Paper ballots will be available upon request.
8. In the event of a tie, the winner will be determined by a drawing of lots among the candidates who are tied.
9. The term of a CrossState Director is three years.
10. No later than March 21, 2022, CrossState will direct eligible credit unions to the appropriate website where credit unions can vote within their asset-based category. Additionally, credit unions may request a paper ballot and voting instructions will accompany the paper ballot. The voting website will provide voting instructions and contain:

• • An electronic ballot that will bear the names of the nominees and the asset-based category that each intends to serve.  A candidate’s position on the ballot will be determined by a drawing of lots conducted by CrossState.  The ballot will also contain a statement which requires the person voting to certify that the ballot was cast and duly authorized by the member credit union
  • Any statement of qualifications submitted by the candidate.

11. Balloting will close on April 15, 2022. That deadline applies to both electronic and paper ballots.  The vote will be tallied and certified by Survey & Ballot Systems, an independent tabulation company, no later than April 15, 2022.
12. The terms of office of the Directors elected shall begin at the close of the 2022 Annual Membership Meeting and shall continue until their respective successors are qualified and elected.
13. Any dispute arising from the nomination or election of CrossState Directors must be presented to CrossState in writing at 4309 N. Front Street, Harrisburg, PA, 17110 by April 15, 2022. CrossState shall resolve the dispute, and such resolution shall be binding and final for all purposes.
